The liability of legal persons for offences and the freedom of establishment in the view of the Italian Supreme Court

Con sentenza n. 11626 dell’11 febbraio 2020, la Corte di cassazione ha affrontato la questione, a lungo dibattuta, relativa all’applicabilità del d.lgs. 231/2001 alle imprese estere che operano in Italia. Nel riconoscere la responsabilità delle imprese straniere per i reati commessi nel territorio italiano, la Corte ha ritenuto che le persone giuridiche che intendono operare in Italia, anche occasionalmente, debbano adeguarsi alla normativa nazionale, adottando modelli organizzativi coerenti con le disposizioni del Decreto 231; la pronuncia rappresenta l’occasione per riflettere sulla compatibilità di una simile conclusione con il principio della libertà di stabilimento.

In judgment no. 11626 of 11 February 2020, the Italian Supreme Court ruled on the long-debated issue of whether Legislative Decree 231/2001 can be applied to foreign companies operating in Italy. The Court stated that foreign companies can be held liable for offences committed on the national territory; thus, legal persons willing to operate in Italy, even occasionally, must comply with Italian law, by adopting organisational models consistent with the provisions of Decree 231; the ruling provides an opportunity to reflect on the compatibility of such a statement with the principle of freedom of establishment.
